• Facilitating the credit application and approval process with third-party lenders
• Providing consultation on lease options, vehicle selection, and pricing structures
• Coordinating vehicle delivery and lease execution logistics

3. Broker vs. Dealer Clarification

Emporium Auto Lease LLC operates exclusively as an auto lease broker, NOT as a dealership, direct lender, or financial institution. This distinction is important and means the following:

• We do not own, hold title to, or maintain inventory of any vehicles. All vehicles are sourced through independent, third-party dealerships.
• We do not make lending decisions, extend credit, or set interest rates. All financing is provided by independent third-party lenders and financial institutions.
• We act as an intermediary, negotiating on your behalf to secure favorable lease terms. The final lease agreement is between you and the leasing company or financial institution.
• Vehicle warranties, manufacturer recalls, and service obligations are the responsibility of the vehicle manufacturer and/or the originating dealership — not Emporium Auto Lease LLC.
• We do not guarantee the condition, history, or specifications of any vehicle beyond information provided to us by the selling dealership.

4. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Possess a valid U.S. driver's license
• Be a legal U.S. resident or have authorization to enter into contractual agreements in the United States
• Provide truthful and accurate information in all forms and applications

5. Credit Application Process and Consent

By submitting a credit application through our website or directly to our team, you:

• Authorize Credit Inquiries: You consent to Emporium Auto Lease LLC and its lending partners obtaining your credit report from one or more consumer reporting agencies. This may result in one or more hard inquiries on your credit report.
• Consent to Information Sharing: You authorize us to share your personal and financial information with our network of lenders, dealerships, and financial institutions for the purpose of evaluating and processing your lease application.
• Certify Accuracy: You certify that all information provided in your application is true, complete, and accurate to the best of your knowledge. Providing false or misleading information may result in denial of your application and potential legal consequences.
• Acknowledge No Guarantee: You understand that submitting an application does not guarantee credit approval. All credit decisions are made solely by third-party lenders based on their independent criteria.

6. Pricing and Fees

• All pricing, monthly payments, and lease terms displayed on our website or provided in consultations are estimates only and are subject to change based on credit approval, lender availability, vehicle availability, and market conditions.
• Final lease terms, including monthly payment, down payment, residual value, money factor, and mileage allowance, are determined by the leasing company and are set forth in your lease agreement.
• Emporium Auto Lease LLC may charge a brokerage fee for its services. This fee will be disclosed to you prior to the execution of any lease agreement.
• We do not guarantee any specific rate, payment amount, or lease terms until a formal lease agreement has been fully executed by all parties.
• Taxes, registration fees, title fees, and other government charges are your responsibility and are not included in quoted lease payments unless explicitly stated.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Emporium Auto Lease LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from or related to:

• Your use of or inability to use our website or services
• Any conduct or content of any third party, including dealerships and lenders
• Unauthorized access to or alteration of your transmissions or data
• Any errors, inaccuracies, or omissions in vehicle listings, pricing, or availability
• Delays in vehicle delivery or lease processing caused by third parties

Our total aggregate liability for all claims arising from or related to our services shall not exceed the total brokerage fees you have paid to Emporium Auto Lease LLC in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

Our website and services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that our website will be uninterrupted, error-free, or virus-free
• Warranties regarding the accuracy, reliability, or completeness of any information, content, or materials on our website
• Warranties regarding the condition, quality, or specifications of any vehicle obtained through our services

9. Force Majeure

Emporium Auto Lease LLC shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of government, war, terrorism, civil unrest, labor disputes, supply chain disruptions, vehicle manufacturer delays, semiconductor or parts shortages, internet or telecommunications failures, cyberattacks, or any other force majeure event.

10. Dispute Resolution and Arbitration

Informal Resolution: Before initiating any formal dispute resolution process, you agree to first contact us at info@emporiumautolease.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration:If the dispute cannot be resolved informally, you and Emporium Auto Lease LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any disputes will be resolved on an individual basis. You waive your right to participate in any class action lawsuit, class arbitration, or representative proceeding against Emporium Auto Lease LLC.

Small Claims Exception:Either party may bring an individual action in small claims court in Miami-Dade County, Florida, provided the claim falls within the court's jurisdictional limits.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you hereby consent to the personal jurisdiction of such courts.

12. Intellectual Property

All content on our website — including but not limited to text, graphics, logos, images, icons, photographs, video content, software, and the overall design and layout — is the property of Emporium Auto Lease LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not, without our prior written consent:

• Reproduce, distribute, or publicly display any content from our website
• Modify, create derivative works from, or reverse-engineer any portion of our website
• Use our trademarks, logos, or branding for any commercial purpose
• Scrape, crawl, or use automated tools to extract content or data from our website

13. Refund and Cancellation Policy

• You may cancel your lease inquiry or application at any time prior to the execution of a formal lease agreement at no cost.
• Once a lease agreement has been signed and a vehicle has been delivered or assigned, cancellations are subject to the terms of the lease agreement between you and the leasing company. Emporium Auto Lease LLC cannot unilaterally cancel or modify an executed lease.
• Any deposits or fees paid to Emporium Auto Lease LLC are subject to our refund policy, which will be communicated to you at the time of payment. Deposits that have already been forwarded to dealerships or lenders may not be refundable.
• Brokerage fees are earned upon successful completion of a lease transaction and are generally non-refundable once the lease has been executed.

14. Data Breach Notification

In the event of a data breach that compromises your personal information, Emporium Auto Lease LLC will:

• Notify affected individuals as promptly as possible, and in no event later than required by applicable state and federal law (including the Florida Information Protection Act)
• Provide details about the nature of the breach and the types of information involved
• Describe the steps we are taking to investigate and remediate the breach
• Offer guidance on steps you can take to protect yourself
• Notify relevant regulatory authorities as required by applicable law

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or disclosures referenced herein, constitute the entire agreement between you and Emporium Auto Lease LLC regarding the use of our website and services. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
